A seller counteroffer is a proposed change to the buyer's original offer. It may change the price, deposit, contingencies, credits, closing date, possession or other terms.
What Happens to the Original Offer?
A counteroffer generally means the seller has not accepted the original offer exactly as written. The buyer must carefully read the counteroffer together with the original offer and any other incorporated documents.
What Can the Seller Change?
The seller may counter:
- Purchase price
- Earnest-money amount
- Closing date
- Possession
- Seller credits
- Contingency periods
- Included property
- Allocation of expenses
- Other contractual provisions
Never assume the counter changes only the term discussed verbally.
What Are the Buyer's Options?
The buyer may generally:
